These Terms of Service ("Terms") are an agreement between you and Cache Nerds ("we," "us," or "our"). They cover your use of our website and any services you engage us to provide. By using our site or working with us, you agree to these Terms. If you don't agree, please don't use the site or our services.
01 Our services
Cache Nerds provides website design and development, online and local visibility (SEO), customer capture and conversion, AI automation, optimization tools, and ongoing maintenance and security. The specific scope, deliverables, timeline, and price for any engagement are defined in a separate proposal, statement of work, or written agreement, which works alongside these Terms.
02 Quotes and estimates
Any pricing shown on our site — including figures from our online estimator or marketplace — is an estimate for planning purposes, not a final quote. Final pricing is confirmed in a written proposal once we understand the full scope of your project. Estimates may change based on requirements, third-party costs, and the work actually involved.
03 Payment terms
- Projects typically require a deposit before work begins, with the balance due per the schedule in your agreement
- Recurring services (such as maintenance or retainers) are billed on the cadence stated in your agreement
- Late or missed payments may result in paused work, and outstanding balances may accrue fees as permitted by law
- Unless stated otherwise, fees are non-refundable once the corresponding work has been performed
04 Your responsibilities
To deliver great work, we need your cooperation. You agree to provide accurate information, supply content and materials in a timely manner, review and approve deliverables when requested, and ensure you have the rights to any materials (logos, text, images) you give us to use. Delays in providing what we need may affect timelines.
05 Revisions and scope
Each engagement includes the revisions stated in your agreement. Work beyond the agreed scope — new features, additional pages, or significant direction changes — may be quoted separately as additional work.
06 Intellectual property
Upon full payment, ownership of the final, custom deliverables we create for your project transfers to you, except for any third-party assets, licensed components, or our own pre-existing tools and frameworks, which remain governed by their respective licenses. Until full payment is received, all work product remains our property.
We retain the right to display completed work in our portfolio and case studies, and to reference your project as an example of our work, unless we agree otherwise in writing.
07 Third-party services
Our work often integrates third-party platforms and tools (for example, hosting, payment processors, booking systems, analytics, and automation services). Those services are governed by their own terms, and we're not responsible for their availability, performance, or policies.
08 Disclaimers
We bring real expertise and care to every project, but we can't guarantee specific outcomes such as particular search rankings, traffic levels, lead volume, or revenue — these depend on many factors outside our control. Our services and this website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
09 Limitation of liability
To the fullest extent permitted by law, Cache Nerds will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of our site or services. Our total liability for any claim will not exceed the amount you paid us for the services giving rise to the claim.
10 Indemnification
You agree to indemnify and hold Cache Nerds harmless from claims, damages, or expenses arising out of your use of our services, your content or materials, or your violation of these Terms or any law or third-party right.
11 Termination
Either party may end an engagement as described in your written agreement. If a project is cancelled, you remain responsible for payment for work completed up to that point. We may suspend or end services if these Terms are breached.
12 Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Los Angeles County, California, and you consent to that jurisdiction.
13 Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest version. Continued use of our site or services after changes means you accept the updated Terms.
